Governing All Electronic Communications from Store Specialist LLC
These Email Terms and Conditions of Use ("Terms") apply to all electronic mail ("email") communications, including any attachments, sent from any employee, agent, or system of Store Specialist LLC ("the Sender," "we," "us," "our"). By receiving, opening, reading, or acting upon an email from us, you, the recipient and any entity you represent ("the Recipient," "you"), agree to be legally bound by these Terms.
1. Acceptance of Terms
The act of opening and reading an email from Store Specialist LLC constitutes your full acceptance of these Terms. If you are not the intended Recipient or do not agree with these Terms, you are hereby notified that any dissemination, distribution, copying, or use of the communication is strictly prohibited. You must immediately and permanently delete the email and all attachments from your system and notify the Sender of the error by return email.
2. Integrated Non-Disclosure Agreement (NDA)
All communications are subject to this integrated Non-Disclosure Agreement. The content of our emails and any accompanying files are considered Confidential Information.
2.1. Definition of Confidential Information
For the purposes of this agreement, "Confidential Information" includes, but is not limited to:
The content of the email message itself, including all text, data, and metadata.
All attached files, regardless of format (e.g., documents, spreadsheets, presentations, images, software).
Information concerning our business, finances, operations, products, services, strategies, clients, vendors, and intellectual property.
Trade secrets, proprietary know-how, technical data, and business plans.
The very existence and subject matter of the communication between the Sender and Recipient.
Confidential Information does not include information that: (a) is or becomes publicly known through no wrongful act of the Recipient; (b) was already in the Recipient's possession without an obligation of confidentiality before receipt from the Sender; or (c) is rightfully received by the Recipient from a third party without a breach of any confidentiality obligation.
2.2. Obligation of Confidentiality
The Recipient shall hold all Confidential Information in the strictest confidence and shall take all reasonable precautions to protect its confidentiality, using at least the same degree of care that the Recipient uses to protect its own confidential information of a similar nature, but in no event less than a reasonable degree of care.
2.3. Permitted Use
Confidential Information shall be used by the Recipient solely and exclusively for the "Approved Purpose." The Approved Purpose is defined as the specific business purpose for which the communication was initiated by the Sender, as can be reasonably inferred from the context and content of the email exchange. Any use of the Confidential Information outside of this narrowly defined Approved Purpose is a material breach of these Terms.
2.4. Strict Prohibitions
Without the express, prior written consent and knowledge of an authorized representative of Store Specialist LLC, the Recipient is strictly prohibited from:
Selling, leasing, or monetizing the Confidential Information in any form.
Sharing or distributing the Confidential Information with any third party, including affiliates, partners, or contractors, unless such sharing is essential for the Approved Purpose and the third party is bound by equivalent confidentiality obligations.
Disclosing, publishing, or disseminating the Confidential Information to the public or any unauthorized individual or entity.
Copying, reproducing, or reverse-engineering any part of the Confidential Information for any purpose other than the Approved Purpose.
Using the Confidential Information for the Recipient's own commercial benefit or to the detriment of Store Specialist LLC.
3. Breach and Remedies
Any unauthorized use or disclosure of Confidential Information shall constitute a material breach of this agreement. In the event of a breach or threatened breach, Store Specialist LLC shall be entitled to seek immediate injunctive relief to prevent or halt such a breach, without the necessity of posting a bond. This remedy is in addition to, and not in lieu of, any other legal or equitable remedies available, including the right to seek monetary damages for any harm caused by the breach.
4. General Disclaimers
No Warranty: Emails are provided "as is." Store Specialist LLC makes no warranties, express or implied, regarding the accuracy, completeness, or timeliness of the information contained within. We are not liable for any errors or omissions in the content.
Viruses and Malicious Code: While we take reasonable measures to ensure our emails are free from viruses, we cannot guarantee that they are secure or error-free. The Recipient is responsible for its own virus-checking and security protocols. We accept no liability for any damage caused by any virus transmitted by an email.
No Binding Contract: No email communication is intended to, nor shall it be construed to, create a legally binding contract or agreement unless it contains a clear and explicit statement of contractual intent from an authorized representative of Store Specialist LLC and is followed by a formal, executed written agreement.
5. Governing Law and Jurisdiction
